These Terms and Conditions (“Terms”) govern access to and use of the MOON application, platform, and related services (collectively, the “Platform”). The Platform is owned and operated by MOON Tech Ltd, incorporated in the Dubai International Financial Centre (“DIFC”) under license number CL8346 (“MOON”, “we”, “us”, “our”). By creating an account, accessing, or using the Platform, you (“Brand”, “you”, “your”) agree to be bound by these Terms.
Platform Nature and Legal Positioning
1.1 Technology platform.
MOON provides a software platform enabling Brands to create, manage, and track influencer and affiliate marketing campaigns.
MOON does not act as:
an advertising agency,
a marketing consultant,
a talent manager,
a media buyer,
or a performance guarantor.
1.2 No employment or agency relationship.
Creators are independent third parties. Nothing in these Terms creates an employment, partnership, or agency relationship between MOON, Brands, or Creators.
1.3 Facilitation role.
MOON facilitates campaign tooling, attribution tracking, and coordination workflows only.
2. Eligibility and Brand Accounts
2.1 Business users.
The Platform is available exclusively to business users acting in a commercial capacity.
2.2 Company credentials.
You must register using accurate business information, including company email credentials where required.
2.3 Authority.
You confirm you have authority to bind your organization to these Terms.
2.4 Account responsibility.You are responsible for all activity conducted under your account, including OTP authenticated sessions.
3. Campaign Creation and Approval
3.1 Campaign submission.
Brands may submit campaign requests through the Platform.
3.2 Review rights.
MOON may approve, reject, or request modifications to any campaign at its discretion for risk, compliance, or operational reasons.
3.3 Accuracy obligation.
You are solely responsible for the accuracy of campaign inputs, including:
product claims,
pricing,
discount mechanics,
tracking links,
coupon configuration,
targeting parameters.
MOON does not verify the commercial accuracy of such inputs.
4. Campaign Types
The Platform may support multiple campaign models, including:
4.1 ROAS Campaigns
Performance based campaigns displaying:
budget,
estimated revenue,
projected ROAS multipliers,
confidence indicators.
4.2 Phased ROAS Campaigns
Campaigns executed in multiple budget stages, each treated independently.
4.3 Fixed Fee Campaigns
Deliverable based campaigns priced independent of performance.
4.4 ROAS Definition
“ROAS” (Return on Ad Spend) means the ratio calculated as:
ROAS = Revenue ÷ Campaign Budget
Where:
- “Revenue” means gross revenue generated through platform-tracked attribution (net of VAT, returns, and invalid transactions)
- “Budget” means the allocated spend for the campaign or phase as selected by the Brand
All ROAS calculations are based exclusively on MOON platform tracking systems.
5. Estimated Revenue and Performance Disclaimers
5.1 Indicative projections only.
Any estimated revenue, ROAS projection, multiplier, forecast, or performance simulation displayed on the Platform is indicative only.
5.2 No guarantee.
Such projections do not constitute guarantees of:
revenue,
return on ad spend,
impressions,
traffic,
conversions,
or sales.
5.3 External dependency factors.
Actual performance may vary due to factors outside MOON’s control, including:
creator performance,
audience response,
seasonality,
platform algorithms,
product pricing,
brand website conversion rates,
inventory availability,attribution windows,
or market competition.
5.4 Confidence indicators.Confidence levels reflect predictive modeling based on historical data and do not represent performance certainty.
5.5 Performance Adjustment (ROAS Campaigns Only)
Where a campaign is explicitly designated as a performance-based ROAS campaign:
If the achieved ROAS falls below the defined phase target, MOON may, at its discretion:
- Allocate credit toward future campaign phases, or
- Adjust budget utilization to reflect achieved performance
Such adjustments are limited strictly to the campaign budget and do not extend to lost profits, projections, or indirect damages.
6. Phased Campaign Execution
6.1 Independent phases.
Each campaign phase is operationally and legally independent.
6.2 No performance carryover.
Performance in one phase does not guarantee performance in subsequent phases.
6.3 Continuation controls.
MOON may pause or decline continuation where:
payments are delayed,
campaign compliance issues arise,
fraud risk is detected,
assets are not provided,
platform policies are breached.
6.4 Phased Budget StructureCampaigns may operate under a phased budget model, where:
- Each phase has a defined budget allocation
- Each phase operates independently
- Continuation to the next phase requires additional payment
6.5 Continuation and Phase Approval
Continuation to any subsequent campaign phase requires explicit Brand action through the Platform.Such action may include:
Confirmation of the next phase, and/or
Payment of the next phase budget
Completion of payment for a subsequent phase shall constitute:
Acceptance of the performance achieved in the preceding phase, and
Authorization for MOON to proceed with the next phase
In the absence of such confirmation or payment, the campaign shall not continue beyond the current phase.
6.6 End of Phase and Termination OptionEach campaign phase shall continue until:
The allocated phase budget is fully utilized, or
The defined revenue or performance target for that phase is achieved
Upon completion of a phase, the Brand may:
Proceed to the next phase through payment or confirmation, or
Elect to discontinue the campaign without further obligation beyond the completed phase
MOON shall not be obligated to continue campaign execution unless the next phase is explicitly approved in accordance with Section 6.5.
7. Coupons and Attribution
7.1 Coupon tooling.
Brands may create coupon codes for attribution and promotional use.
7.2 Activation meaning.
Coupon activation enables creator usage. Activation does not guarantee redemption, sales, or performance.
7.3 Configuration responsibility.
Brands are responsible for:
coupon value,
product inclusions/exclusions,
expiry dates,
stacking rules,
checkout functionality.
7.4 No liability for misconfiguration.
MOON is not liable for losses arising from:
coupon misconfiguration,
checkout failures,
website errors,
stock shortages,
payment gateway issues.
8. Payments and Fees
8.1 Payment trigger.
Payment is required following campaign approval and prior to activation.
8.2 Execution commencement.
Campaign activation and facilitation workflows begin upon payment confirmation.
8.3 Third party processing.
Payments may be processed via external payment gateways. MOON does not collect, process, or store any card or payment credentials.
8.4 Taxes.
You are responsible for all applicable taxes, including VAT and withholding obligations.
8.5 Phase Payment Mechanism
Where campaigns operate under phased structures:
- Subsequent phase payments may be triggered upon consumption of a defined percentage of the current phase budget (e.g. 80%)
- Payment of a subsequent phase constitutes acceptance of performance achieved in the previous phase
8.6 Auto Confirmation
If the Brand does not dispute a phase or invoice within a reasonable period (e.g. 7–15 days), it shall be deemed accepted.
9. Refunds and Cancellations
9.1 Service based fees.
Fees are charged for campaign facilitation, platform access, and operational services.
9.2 Non refundable events.
Fees become non refundable once any of the following occur:
campaign activation,
creator allocation,
coupon publication,
campaign execution commencement.
9.3 Underperformance Exclusion
Campaign underperformance, including failure to meet projected or target ROAS, does not qualify for refunds unless explicitly stated under a defined performance-based campaign structure.
9.4 Discretionary exceptions.
MOON may, at its sole discretion, issue partial refunds only where a verified technical failure solely attributable to MOON prevents campaign launch.
9.5 Chargebacks.
You must contact MOON prior to initiating a chargeback. Unauthorized chargebacks may result in account suspension and recovery actions.
10. Creator Engagement Disclaimer
10.1 Independent creators.
Creators are independent third parties.
10.2 No performance control.
MOON does not control, direct, or guarantee creator output, posting behavior, content reach, or audience response.
10.3 No employment liability.MOON is not liable for creator conduct, content quality, or performance outcomes.
11. Intellectual Property
11.1 Platform ownership.
All Platform technology, software, and branding are owned by MOON.
11.2 License to use.
Brands receive a limited, revocable license to use the Platform.
11.3 Content usage rights.Creators grant Brands and MOON a license to repost campaign content organically for the campaign duration plus six (6) months unless otherwise agreed in writing.
12. Data and Reporting
12.1 Platform as Source of Truth
All campaign performance, revenue attribution, ROAS calculations, and reporting shall be determined exclusively based on MOON platform tracking systems.
External data sources shall not override platform-reported results.
12.2 No absolute accuracy guarantee.
Data discrepancies may occur due to third party APIs, attribution modeling, or validation adjustments.
12.3 Validation windows.
Performance metrics may be adjusted post validation.
12.4 Data Dependency
Where campaign performance depends on integrations, tracking, or data provided by the Brand:
- Failure to provide required access suspends performance evaluation
- MOON shall not be responsible for performance impact resulting from missing or delayed data
13. Prohibited Conduct
You may not:
manipulate attribution,
submit fraudulent transactions,
misuse coupons,
misrepresent products,
violate advertising laws,
interfere with platform systems.
MOON may suspend accounts pending investigation.
14. Limitation of Liability
14.1 Liability cap.
MOON’s total liability shall not exceed fees paid for the specific campaign giving rise to the claim within the preceding three (3) months.
14.2 Excluded damages.
MOON is not liable for indirect, consequential, or lost profit damages.
14.3 Third party exclusion.
MOON is not liable for actions or failures of creators, platforms, payment processors, or merchant systems.
15. Indemnity
You agree to indemnify MOON against claims arising from:
your products,
your advertising claims,
your legal compliance failures,
your campaign instructions,
your misuse of the Platform.
16. Suspension and Termination
MOON may suspend or terminate access for:
non payment,
fraud risk,
legal exposure,
policy breaches,
misuse of the Platform.
17. Governing Law and Jurisdiction
These Terms are governed by DIFC Law.
Any dispute shall be subject to the exclusive jurisdiction of the DIFC Courts.
Parties agree to attempt good faith resolution prior to litigation.
18. Amendments
MOON may amend these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
19. Entire Agreement
These Terms constitute the entire agreement governing Platform use and supersede prior understandings unless supplemented by signed campaign addenda.
19.1 Campaign-Specific Terms
All campaign-specific commercial terms, including:
- budget,
- ROAS targets,
- phase structure,
- payout model,
- performance logic
shall be defined within the Platform interface and accepted digitally by the Brand.
Such selections form a binding extension of these Terms without requiring a separate signed agreement.
